Trademark Assignment in Armenia

• Transfer of Trademark Rights: In Armenia, the rights associated with a registered trademark or an application for a trademark can be transferred or assigned to another individual or entity. This transfer may pertain to some or all of the goods or services for which the trademark is protected.

• Recordation Requirement: For an assignment to be valid and legally enforceable against third parties, it must be officially recorded with the Armenian Intellectual Property Agency (AIPA). Recording the assignment ensures transparency and provides legal recognition of the transfer of trademark rights. Information about trademark assignments is typically published in the Official Journal of the AIPA.

• Business Separation: The assignment of trademark rights doesn't necessarily require the transfer of the entire business associated with the trademark. It's possible to assign the trademark independently of the business.

• No Requirement for Goodwill Valuation: Unlike some jurisdictions, Armenian law does not mandate including a value or consideration for the goodwill associated with the trademark when recording an assignment. The parties have flexibility in this regard.

• Prohibited Assignments: Assignments that could potentially mislead the public about the nature, quality, or origin of the goods and services may be prohibited.
